Terms of Service

These Terms of Service ("Terms") govern the engagement between AdCendes Pte Ltd ("AdCendes", "we", "us") and the client ("you", "Client") for all digital marketing, website development, and related services. By engaging our services, you agree to these Terms.

1. Scope of Services

The specific services, deliverables, and timelines are defined in the signed proposal or service agreement. All prices are in Singapore Dollars (SGD) and exclude GST unless stated otherwise. Ad spend and media budgets are paid directly by the Client to the advertising platforms and are not included in our service fees.

2. Payment Terms

• Payment is due 100% upfront monthly, or 70% deposit + 20% before month-end & 10% last day of the service agreement, as agreed in the proposal.
• One-time setup fees are payable in Month 1.
• Late payments beyond 14 days may result in service suspension until outstanding balances are settled.
• All fees are non-refundable once work has commenced for the billing period.

3. Minimum Commitment

• Standard packages require a minimum 3-month commitment.
• 6-month packages receive a discount on the monthly rate.
• The Performance Dominator bundle requires a minimum 6-month commitment.
• Add-on services (e.g. photoshoots, landing pages) have no minimum commitment.

4. Cancellation & Early Termination

• Written notice is required 30 days before the next billing cycle to cancel services.
• Early termination of multi-month packages may incur a 20% early exit fee on the remaining months of the commitment.
• AdCendes reserves the right to terminate services if the Client breaches these Terms, with 14 days written notice.

5. Timeline & Onboarding

• Week 1: Onboarding, account setup, and campaign structure.
• Weeks 2–4: Execution, optimisation, and management.
• Monthly reporting: Delivered by the 5th of the following month.

Delays in client approvals, content submissions, or platform access may extend delivery timelines. AdCendes is not responsible for delays caused by the Client.

6. Client Responsibilities

The Client agrees to:

• Provide brand guidelines, platform logins, business information, and product/service details
• Respond to approval requests within 48 hours
• Pay ad spend directly to advertising platforms from Client-owned accounts
• Ensure all provided content and claims are accurate and lawful

7. Revisions

• Each deliverable includes up to 2 rounds of revision.
• Additional revisions beyond the included rounds will be charged at $80/hour.

8. Account Ownership

Ad accounts remain 100% client-owned at all times. AdCendes operates within the Client's accounts with granted access. Upon termination of services, all account access is returned to the Client. Campaign history, audience data, and performance records remain the Client's property.

9. Intellectual Property

• Creative assets (ad copy, images, videos) produced by AdCendes are licensed to the Client for the agreed usage during and after the engagement.
• AdCendes retains the right to showcase non-confidential work in our portfolio unless the Client requests otherwise in writing.
• Proprietary tools, frameworks, and methodologies used by AdCendes remain our intellectual property.

10. Confidentiality

Both parties agree to keep confidential all business information, strategies, performance data, and trade secrets disclosed during the engagement. This obligation survives termination of the agreement.

11. Limitation of Liability

AdCendes provides marketing services on a best-effort basis. We do not guarantee specific results, rankings, or revenue outcomes. Our liability is limited to the fees paid for the specific service in question during the month in which the issue arose.

AdCendes is not liable for actions taken by third-party platforms (e.g. Google, Meta, TikTok) including account suspensions, policy changes, or algorithm updates.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes shall be resolved through mediation in Singapore before pursuing other legal remedies.

13. Changes to These Terms

AdCendes reserves the right to update these Terms. Clients will be notified of material changes via email. Continued use of our services after notification constitutes acceptance of the updated Terms.
